If you are using the Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

2. Accounts
To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Sobek is not liable for any loss or damage arising from your failure to safeguard your account credentials.

3. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party’s use of the Services;
• Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services;
• Use any robot, spider, scraper, or other automated means to access the Services without our prior written permission;
• Introduce any viruses, Trojan horses, worms, or other material that is malicious or technologically harmful;
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Services;
• Use the Services to transmit any unlawful, harassing, defamatory, obscene, or otherwise objectionable content;
• Violate any applicable local, state, national, or international law or regulation; or
• Encourage or enable any other individual to do any of the foregoing.

4. Intellectual Property
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, trademarks, icons, images, software, and the design, selection, and arrangement thereof — are owned by Sobek AI, Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
“Sobek AI” and “Sobek.ai” are trademarks of Sobek AI, Inc. You may not use our trademarks without our prior written consent.

5. User Content
You may submit, upload, or otherwise make available content through the Services (“User Content”). You retain ownership of your User Content, but by making it available through the Services, you grant Sobek a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display your User Content solely as necessary to provide and improve the Services.
You represent and warrant that you own or have the necessary rights and permissions to submit your User Content and that your User Content does not infringe or violate the rights of any third party.

6. Confidentiality
Sobek’s platform is designed to support controlled sharing of information across organizational boundaries. Any confidentiality obligations related to data shared through the platform between organizations will be governed by separate agreements between Sobek and the applicable parties (such as mutual non-disclosure agreements, data processing agreements, or enterprise service agreements). These Terms do not supersede any such agreements.

7. Third-Party Services and Links
The Services may contain links to or integrations with third-party websites, services, or resources. Sobek does not control and is not responsible for the content, products, or services provided by third parties. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.

8. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOBEK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SOBEK DOES NOT PROVIDE MEDICAL, SCIENTIFIC, REGULATORY, OR LEGAL ADVICE THROUGH THE SERVICES. ANY INFORMATION OR CONTENT PROVIDED THROUGH THE SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOBEK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF SOBEK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOBEK’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SOBEK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

10. Indemnification
You agree to indemnify, defend, and hold harmless Sobek, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your User Content.

11. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 4, 8, 9, 10, and 13.

12. Modifications to the Terms
Sobek reserves the right to modify these Terms at any time. If we make material changes, we will notify you by updating the “Last Updated” date at the top of these Terms and, where appropriate, providing additional notice (such as posting a notice on our website or sending you an email). Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

14. General Provisions

• Entire Agreement. These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Sobek regarding the Services.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.
• Assignment. You may not assign or transfer these Terms without our prior written consent. Sobek may assign these Terms without restriction.

15. SMS Messaging Terms & Conditions
By opting in to receive SMS messages from GHEC.AI, you agree to receive operational communications related to your participation in the platform, including account notifications, training reminders, availability confirmations, emergency response coordination, deployment status updates, and other administrative communications.

• Message Frequency: This is a recurring messaging program. You may receive up to 10 SMS messages per month depending on operational needs and your participation in GHEC programs.
• Consent: Consent to receive SMS messages is not a condition of employment, participation in any program, deployment opportunity, training activity, or use of the Services.
• Opt-Out Instructions: You may opt out at any time by replying STOP to any message. After sending STOP, you will receive a confirmation message and will no longer receive SMS messages from this program unless you subsequently opt in again.
